We manage software license agreements and related negotiation.
We manage software license agreements and related negotiation.
Contracts with suppliers and software vendors, especially with the rise in popularity of cloud-based solutions, provide a detailed overview of current and upcoming projects within a company.
Their management can not only be ordinary administration: the lack of knowledge of contractual obligations and conditions, the lack of verification of compliance and performance requirements, the lack of control over the life cycle of the contract and the renewal dates put companies in a position to arrive unprepared at the vendor table, without being able to counterattack in case of detected criticalities and without being able to be effective in negotiation.

What should
alarm you about
contract management?
You don’t have visibility on the purchases and the contracts stipulated: to retrieve them, to organize them and to monitor them is a titanic task. They are in systems (or desk drawers) of different departments depending on who is responsible.
With procurement in charge of the different business functions, you find yourself with a dynamic environment in which you struggle to track contracted resources and the expenses they generate.
You would like to make informed decisions in choosing suppliers, but you struggle to define service metrics: you do not know how to quantify the real needs of your organization and what the market can offer, at more affordable prices.
Lack of knowledge of vendor contract policies and their constraints prevents you from identifying any adverse situations or unmanaged compliance risks. You do not know what factors can weigh on the cost balance.

The need to collaborate remotely and enjoy unlimited access to virtual resources, new digital transformation projects, the increase in the purchasing power of individual functions... are all adding complexity to IT procurement. In order to effectively manage license and supply agreements you should:
Contracts often have articulated structures and include multiple documents: if we multiply them for each purchase made we risk losing control easily. Each one has precise constraints and deadlines, to verify to better manage compliance and renewals. Companies usually lack a unique view of their contracts, contractual conditions and the expenses they generate. It would take an automated control system, with which to set alerts and criticality thresholds.
In order to verify if the contractual management is adequate to the business needs, it is necessary to know in depth the IT environment – hardware, software and cloud – for which the purchase and the contractualization of resources and applications is required. You need to have an accurate count of the software consumption and know in detail the hardware infrastructure on which the programs are run. Knowing the number of processors/cores, for example, can be decisive in determining which license model to use. It would be necessary to have accurate HW and SW inventories, able to detect all the machines connected to the company network, both physical and virtualized, and the software executed on these machines. Doing it manually from multiple sources takes a lot of time, the ideal would be to automate data collection and reconciliation, so that they are already normalized and ownership identified.
Verifying whether or not the use of the applications complies with the interpretation of the license terms and conditions takes time, especially if you do not know which elements to check. It would be necessary to know in detail the policies of the vendors and to set up verification automatisms that, in performing the matching between the license usage rights and the consumption data, are able to monitor also the possible critical elements. Multiple logons or excessive work times may indicate the presence of unregulated indirect accesses. But you need to know in advance what to look for and what the vendor’s policy is about it.
The identification at a glance of non-conformities helps to better manage contracts: we know if there are overruns to be remedied with further purchases or if there are contract revisions. In the event of waste, that is to say greater use than contracted, it’s possible to resize subscriptions or opt for more convenient solutions. In this phase it would be useful to make an analysis of benchmark between the various suppliers and to carefully evaluate every alternative, also opensource scenarios, in order to be able to negotiate at best.
